Free insights report for risk and compliance leaders
The TPRM build vs buy decision is usually framed as a software license against an engineering team. That framing prices the easiest part of third-party risk management. Most of the cost, and most of the regulatory exposure, sits in the intelligence and evidence beneath the workflow: sourcing data, resolving entities, establishing ownership, detecting change and keeping a record an examiner will accept.
This 13-page Neotas report gives Chief Risk Officers, compliance leaders and TPRM program owners a structured way to decide which capabilities to own, which to source, and how to defend the choice to a board.
Written by practitioners who work in the intelligence layer every day
Neotas investigates third parties across 600Bn+ archived web pages, 1.8Bn+ court records and 30+ languages. This report sets out what that work shows about where TPRM programs fall short.
Neotas is a Chartis FCC50 Market Disruptor 2026.
Quick answer: should you build or buy TPRM software?
For most organizations the right answer is a portfolio. Own the decisions that define your risk position: appetite, methodology, escalation and residual risk acceptance. Buy and configure workflow. Source the intelligence that is expensive to build and changes weekly, such as data, ownership analysis and multilingual adverse media. Accountability stays with you in every model.
Key takeaways
A TPRM build vs buy decision compares two ways of reaching a required control environment for third parties: developing the capability in-house or sourcing it from a provider. Most business cases only compare the workflow layer. A third-party risk management program has two layers with very different economics.
| Layer | What it includes | How it behaves |
|---|---|---|
| Workflow layer | Intake forms, questionnaires, approvals, case routing, dashboards | Mature and widely available. Easy to specify, slow to go out of date. This is what most business cases price. |
| Intelligence and evidence layer | Data acquisition and licenses, entity resolution across registries and scripts, ownership and control chains, adverse media in local languages, change detection after onboarding, evidence and decision history | Needs scarce skills, recurring licenses and language and jurisdiction coverage. It decays weekly and is rarely costed. |
Whether an assessment is accurate depends on the second layer. A workflow tool fed only by supplier questionnaires records what the third party said about itself, which is why the same third party can look clean in the system and still carry undisclosed ownership, sanctions or adverse media exposure.
67%
of organizations rely on homegrown or IT-built tools for third-party assessments, and 64% use spreadsheets.1
ProcessUnity and Ponemon Institute, 2026
27%
of third parties never respond to risk assessments at all.2
ProcessUnity and Ponemon Institute, 2026
15%
of TPRM leaders have high confidence in the data their program runs on.3
KPMG Global TPRM Survey, 2026
Read together, these figures point to the same constraint. Programs struggle with data and response rates, and automation stalls where the data underneath it is weak. Buying more workflow does not fix a weak intelligence layer, and building more workflow does not either.
TPRM build vs buy business cases underestimate cost because they treat third-party risk management as a one-time software project. In practice TPRM is a permanent product with a permanent roadmap: data licenses renew, regulations change, integrations break and the third-party population keeps moving.
| Cost area | Build in-house | Buy or source |
|---|---|---|
| Initial capability | Discovery, architecture, engineering, security, testing | Implementation, configuration, migration, training |
| Data and intelligence | Licenses, source integration, entity resolution, language coverage, research staff | Contracted data and specialist capability |
| Run and change | Cloud, security, QA, releases, regulatory and threat change | Platform fees, configuration, provider roadmap |
| People | Product, engineering, data, support and analysts | Provider management, administrators and analysts |
| Risk and exit | Technical debt, key-person risk, scope creep | Concentration, pricing change, portability, transition |
In the report: the full five-year total cost of ownership model, including opportunity cost, and two board metrics that link TPRM spend to control coverage instead of assessment volume.
Building TPRM in-house makes sense when the technology itself is a source of differentiation, the organization has durable engineering and data capability, requirements differ materially from what the market offers, and the long-term economics improve at its scale. The common error is treating a permanent product as a one-time project.
Build fits when
TPRM technology differentiates you, engineering and data teams are stable, and your requirements are unusual enough that configurable platforms cannot meet them.
Buy fits when
Workflow needs are well understood, speed to a working control environment matters, and you would rather spend internal capacity on methodology and decisions.
Hybrid fits when
You want to own appetite, methodology and decision rights while sourcing data, multilingual research, ownership analysis and monitoring that are costly to hold internally.
Most mature programs land on a hybrid. Buying a third-party risk management platform for workflow and monitoring, while keeping methodology and residual risk acceptance in-house, is one common pattern. Sourcing enhanced due diligence for high-risk and critical relationships is another.
Decide capability by capability. The report scores each TPRM capability against four questions, then allocates it to own, industrialize, buy and configure, or hybrid.
Differentiation
Does this capability encode your risk appetite, methodology or judgment?
Control criticality
Is this where accountability is exercised, or does it produce an input you review?
Internal scarcity
Can you hold the skills, data licenses and language coverage it needs over time?
Rate of change
Does it change when your business changes, or weekly and outside your control?
Capabilities that score high on the first two and low on the last two point toward owning them. The reverse points toward industrializing them through a specialist provider. Policy and decision rights usually stay in-house. Data acquisition and adverse media intelligence rarely justify an internal build.
In the report: the complete Capability Allocation Matrix, applying these four questions to 11 TPRM capabilities across six layers: govern, decide, intelligence, execute, respond and evidence.
Get the Capability Allocation Matrix
Regulators across the US, UK and EU expect effort to follow risk, allow lighter treatment of lower-risk relationships, and keep accountability with the organization whatever operating model it chooses. That combination moves the burden of proof: a firm that does less on lower tiers must show the tiering was reasonable when it was set and is still accurate.
| Jurisdiction | Instrument | What it means for build vs buy |
|---|---|---|
| US | Proposed interagency TPRM guidance (OCC, Federal Reserve, FDIC, NCUA) | Risk assessed by magnitude and likelihood of harm. Lower-risk relationships may rely on public or alternative sources. Using third parties does not diminish the bank’s responsibility. |
| US | DOJ Evaluation of Corporate Compliance Programs | Prosecutors ask whether compliance has timely access to data and uses it throughout the relationship as well as at onboarding. |
| UK | FCA and PRA operational incident and third-party reporting rules | Material third-party arrangements must be notified and registered. Firms set their own materiality test, so tiering becomes a reportable artefact. |
| EU | EBA Guidelines on non-ICT third-party risk | Arrangements supporting critical or important functions need due diligence, monitoring, documentation and exit planning. |
| EU | Digital Operational Resilience Act (DORA) | Applies since January 2025 to ICT third-party arrangements, with a register of information, contractual requirements and exit strategies. |
In the report: the status of each instrument, the dates on the board calendar for 2026 and 2027, and what changes for ownership verification in the US and EU.
Is your proportionality case evidenced?
A Neotas specialist can run a sample of your approved third parties through independent OSINT and due diligence research, then compare the findings with your file.
Questionnaires record what a third party chooses to declare. A counterparty with something to hide has every reason to complete the form cleanly, so a clean file tells you less than it appears to, especially in lower risk tiers where independent checks are often skipped.
| Blind spot | What you need to know | Consequence if missed |
|---|---|---|
| Self-declared ownership | Whether declared owners match registry records, and who sits behind nominee or layered structures | Hidden sanctions exposure, undisclosed PEP links, conflicts |
| English-only media screening | What local-language press, courts and regional sources report | Adverse information missed where the risk sits |
| Name matches cleared without context | Whether a cleared entity connects to a listed or high-risk party through ownership or control | False negatives on connected parties, and false positives that consume analyst time |
| Point-in-time review | What changed since the last review: ownership, litigation, media, regulatory action | Decisions based on information that is months or years old |
The report sets out a four-stage intelligence depth model: declared, verified, connected and current. Most programs are strong at the first stage and thin at the last two. Independent research across corporate records, OSINT and premium data sources closes that gap for the relationships that matter.
The most common TPRM build vs buy mistakes come from pricing the visible layer and assuming the rest will follow.
| Mistake | Why it fails |
|---|---|
| Assuming you already have the data | Internal data shows what the third party told you and what you paid it. It rarely shows ownership, local press coverage or recent change. |
| Treating workflow as the hard part | Workflow is widely available. Entity resolution, jurisdictional coverage and monitoring are harder to build and go out of date faster. |
| Scoping TPRM as a one-time project | Licenses, integrations, regulation and security make it a permanent product that needs a permanent budget. |
| Assuming buying moves risk to the vendor | Accountability stays with the organization in every regime reviewed in the report. |
| Ignoring exit before signing or building | Records, evidence and past decisions must survive a change of platform or data source. |
Regulatory caution: remediation is slow once a regulator acts. The report cites two US banks whose 2024 consent orders, which required stronger oversight of fintech and third-party partners, took 19 and 22 months to lift.
The report turns the build vs buy question into four decisions a board can approve.
